These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Qhomes LLC ("Qhomes," "we," "us," or "our"), governing your access to and use of the Quoted Homes website (https://quotedhomes.com/), mobile application, software, and all related services (collectively, the "Platform").
By creating an account, accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all users of the Platform, including homeowners seeking home improvement services and contractors who participate on the Platform.
To use the Platform, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract, all information you provide to Quoted is accurate, complete, and kept up to date, If you are registering or acting on behalf of a business entity, you have the authority to bind that entity to these Terms, your use of the Platform complies with all applicable federal, state, and local laws and regulations, and you are not prohibited from using the Platform under any applicable law or prior agreement with Quoted.
Quoted reserves the right to refuse access to, suspend, or terminate any account that fails to satisfy these eligibility requirements or otherwise violates these Terms.
Quoted is a technology platform designed to connect homeowners seeking home improvement services with independent contractors who perform such services. The Platform allows homeowners to submit project details, receive a data-driven project price estimate, and make their projects available for review by participating contractors.
Contractors may review project opportunities without initially receiving the homeowner's personally identifiable information. If a contractor elects to pursue a project and the homeowner subsequently selects that contractor, Quoted facilitates the assignment by providing each party with the other's contact information. Thereafter, the homeowner and contractor communicate directly regarding the project.
Quoted's Services are limited to operating the Platform and facilitating project assignments. Quoted does not provide home improvement, construction, repair, remodeling, installation, consulting, or project management services.
Quoted operates solely as an online marketplace and technology provider, facilitating connections between homeowners and independent contractors.
Quoted does not negotiate, supervise, oversee, manage, perform, or control any construction or home improvement services. Quoted does not participate in the preparation, negotiation, execution, or performance of any agreement entered into between a homeowner and a contractor.
Any contract for home improvement services is entered into directly between the homeowner and the selected contractor. The contractor is solely responsible for evaluating the project, conducting any necessary site inspections or measurements, determining the final scope of work, complying with applicable laws and regulations, obtaining permits where required, performing the work, honoring warranties, and addressing any issues that arise during or after the project.
Quoted is not a contractor, general contractor, construction manager, architect, engineer, or licensed design professional, and does not perform construction work, supply labor or materials, supervise projects, or guarantee the quality, safety, legality, or completion of any contractor services.
Nothing in these Terms creates any agency, partnership, joint venture, fiduciary, employment, or representative relationship between Quoted and any user. Neither homeowners nor contractors may bind Quoted or act on its behalf, and Quoted does not act as an agent, broker, or fiduciary for any party.
All contractors on the Platform operate as independent businesses, responsible for their own licensing, insurance, compliance with applicable laws, service performance, contracts with homeowners, employees, and subcontractors, taxes, and business operations. Contractor verification by Quoted, if any, is solely for Platform participation and does not constitute endorsement, warranty, or guarantee of qualifications, performance, or compliance.
To access certain features of the Platform, including submitting Projects or participating as a contractor, users must create and maintain an account. Users agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate. Homeowners must register before submitting a Project, and contractors must complete required onboarding and verification steps before accessing or accepting Project opportunities. By registering, users represent that all information provided is truthful and that they have the legal authority to maintain the account.
Users are solely responsible for maintaining the confidentiality and security of their login credentials and for all activity conducted through their accounts. Users agree to keep credentials secure, notify Quoted of any unauthorized access or security breach, log out after each session on shared devices, and take reasonable steps to prevent unauthorized access to accounts. Quoted is not liable for any loss or damage arising from a user's failure to protect account credentials.
You agree that all information submitted through the Platform, including registration details, Project information, contractor qualifications, licensing information, insurance information, certifications, business details, contact information, and any other content you provide, will be accurate, complete, and not misleading.
Homeowners are responsible for providing sufficient and accurate Project details to enable contractors to evaluate the opportunity. Contractors are responsible for ensuring that all business information, licenses, insurance, certifications, and qualifications submitted to Quoted remain current throughout their participation on the Platform.
Quoted reserves the right to request additional documentation or verification at any time and may suspend or restrict access to the Platform if information provided cannot be verified or is determined to be inaccurate, incomplete, fraudulent, or misleading.
Quoted reserves the right, in its sole discretion, to suspend, restrict, or terminate any account, with or without prior notice, if it reasonably believes that you have violated these Terms or any applicable policy, you have provided false, misleading, or incomplete information, your use of the Platform poses a legal, security, operational, or reputational risk to Quoted or its users, a contractor fails to maintain required licenses, insurance, certifications, or other eligibility requirements, fraudulent, deceptive, abusive, or unlawful activity is suspected, or suspension or termination is otherwise necessary to protect the Platform, its users, or Quoted's legitimate business interests.
Upon termination, your right to access and use the Platform will immediately cease. Termination of an account does not affect any rights, obligations, or liabilities that accrued prior to termination, including obligations arising from any Project assignment or separate agreement entered into between a homeowner and a contractor.
Homeowners may use the Platform to submit requests for home improvement services by creating a Project. To create a Project, a homeowner must maintain an active account and provide the information requested through the Platform.
Upon submission, the Project will be made available for review by eligible contractors servicing the applicable geographic area and trade category. Contractors initially receive only non-identifiable Project information necessary to evaluate the opportunity. Personally identifiable information about the homeowner will not be disclosed until the homeowner selects a contractor. Submission of a Project does not guarantee contractor interest, acceptance, or completion of the requested services.
Homeowners agree to provide accurate, complete, and truthful information regarding their Project, including, where applicable, the type of home improvement services requested, property location, project specifications, measurements, photographs, or other supporting information requested by the Platform, desired products, materials, or service preferences, and any other information reasonably necessary for contractors to evaluate the Project.
Homeowners acknowledge that inaccurate, incomplete, or misleading information may affect contractor interest, pricing estimates, scheduling, or the contractor's ability to perform the requested work.
Quoted reserves the right to reject, remove, or suspend any Project that contains false, fraudulent, offensive, unlawful, or incomplete information.
The Platform uses a proprietary pricing methodology to generate a Project Price Estimate based on the homeowner's submitted information, historical project data, market conditions, and other internal pricing metrics. The pricing methodology is intended solely to assist homeowners and participating contractors during the Project assignment process. Quoted reserves the right to modify, update, or refine its pricing methodology at any time without prior notice.
Homeowners acknowledge that the pricing methodology is an estimate generated from information available at the time of submission and is not intended to replace a contractor's independent evaluation of the Project.
Any Project Price Estimate displayed through the Platform is provided for informational purposes only and does not constitute a binding offer, fixed contract price, guarantee, appraisal, or warranty.
Following the assignment, the selected contractor may conduct an on-site inspection or measurement appointment to verify the information provided by the homeowner. The contractor may adjust the final price where reasonably necessary due to factors including, but not limited to, incorrect or incomplete Project information, measurement discrepancies, hidden or unforeseen property conditions, applicable building code or regulatory requirements, homeowner-requested changes to the Project scope, or other material conditions that could not reasonably be identified before the on-site inspection.
Any adjustment to the final contract price shall be determined solely between the homeowner and the selected contractor. Quoted is not responsible for negotiating, approving, or resolving pricing disputes between homeowners and contractors.
Participating contractors may review eligible Projects and independently determine whether to express interest in a Project. When one or more contractors indicate interest, the homeowner may review the participating contractors' profiles, qualifications, and other available information before selecting a contractor.
The homeowner retains sole discretion in selecting a contractor. Quoted does not recommend, require, or guarantee the selection of any particular contractor and is not responsible for the homeowner's selection decisions. Once the homeowner selects a contractor, Quoted facilitates the assignment by providing each party with the other's contact information. All communications, negotiations, contracts, and services occurring thereafter are solely between the homeowner and the contractor.
Quoted is committed to protecting homeowner privacy throughout the Project assignment process. Prior to contractor selection, personally identifiable homeowner information is not disclosed to participating contractors. Contractors receive only the information reasonably necessary to evaluate the Project opportunity.
Once the homeowner selects a contractor, Quoted will release the homeowner's contact information to the selected contractor and simultaneously provide the contractor's contact information to the homeowner to coordinate the Project. The collection, use, storage, and disclosure of personal information are further governed by Quoted's Privacy Policy.
Contractor participation on the Platform is voluntary, and Quoted does not guarantee that any Project will receive contractor interest or be accepted. If a Project does not receive contractor interest within a specified period, Quoted may, in its sole discretion, modify the contractor assignment fee or implement other marketplace measures intended to encourage contractor participation.
Where appropriate, Quoted may also notify the homeowner that the Project has received limited contractor interest and recommend that the homeowner review or update the submitted Project information. Such notification does not constitute a representation regarding the condition of the property or the merits of the Project.
Quoted makes no representation or warranty that any Project will receive contractor interest, be assigned to a contractor, or ultimately result in a completed home improvement project.
To participate in the Platform, contractors must create and maintain an active contractor account and satisfy Quoted's eligibility requirements.
By registering as a contractor, you represent and warrant that you are legally authorized to conduct business in the jurisdictions where you provide services, hold all licenses, registrations, certifications, and permits required by applicable law, maintain all insurance required by law and any additional insurance required by Quoted, possess the experience, qualifications, and resources necessary to perform the services you offer through the Platform, and will comply with these Terms and all applicable federal, state, and local laws and regulations.
Quoted reserves the right to establish, modify, or enforce additional eligibility requirements at any time.
As part of the onboarding process, Quoted may review and verify certain information provided by contractors, including business information, licenses, insurance, certifications, years in business, project history, and other qualifications.
Quoted may also utilize third-party verification services to periodically monitor contractor licensing and insurance status.
Contractors agree to cooperate with any verification requests and promptly provide updated documentation when requested. Contractors acknowledge that Quoted's verification process is conducted solely for marketplace participation purposes and does not constitute certification, endorsement, or a guarantee of any contractor's qualifications or services.
Each contractor may maintain a profile on the Platform displaying information such as company details, service areas, licenses, certifications, years of experience, customer reviews, before-and-after project photographs, and other business information approved by Quoted. Contractors are solely responsible for ensuring that all profile information is accurate, up to date, and not misleading.
By uploading photographs, reviews, logos, or other content to the Platform, contractors represent that they possess all necessary rights to such content and grant Quoted a non-exclusive, worldwide, royalty-free license to display, reproduce, and use such content in connection with the operation and promotion of the Platform. Quoted reserves the right to edit, remove, or reject any profile content that violates these Terms or applicable law.
Eligible contractors may review available Project opportunities and independently determine whether to express interest in a Project. Submission of interest does not guarantee assignment of the Project. The homeowner retains sole discretion to select the contractor they wish to engage.
Once selected by the homeowner, the Project is deemed assigned, and the contractor agrees to promptly contact the homeowner to schedule any necessary inspection, measurement appointment, or other preliminary consultation. Failure to communicate with a homeowner in a timely manner after assignment may result in corrective action, including reassignment of the Project, temporary account suspension, or permanent removal from the Platform.
Contractors acknowledge and agree that Quoted earns revenue through Project assignment fees. Upon a homeowner's selection of a contractor, the applicable assignment fee will be automatically charged in accordance with the fee schedule communicated by Quoted.
Quoted reserves the right to modify assignment fee percentages, offer promotional pricing, reduce assignment fees for Projects receiving limited contractor interest, or implement other marketplace pricing adjustments at its sole discretion. Unless otherwise expressly stated in writing, assignment fees are non-refundable once a Project has been assigned.
Following the assignment, contractors are solely responsible for all aspects of the homeowner relationship and Project performance. Without limitation, contractors are responsible for contacting the homeowner within a reasonable time following assignment, conducting any necessary inspections or measurements, confirming the final scope of work and pricing, executing a separate contract directly with the homeowner, obtaining all necessary permits, licenses, and approvals, supplying all labor, materials, equipment, and supervision required to complete the Project, complying with all applicable laws, building codes, and industry standards, and addressing all customer service matters, warranties, disputes, cancellations, and post-completion obligations.
Quoted is not responsible for monitoring, supervising, or guaranteeing contractor performance and shall not be liable for any acts, omissions, delays, defects, or disputes arising from services performed by contractors.
Contractors shall maintain all licenses, registrations, certifications, and insurance required by applicable law throughout their participation on the Platform. Contractors must immediately notify Quoted of any suspension, expiration, cancellation, lapse, disciplinary action, or material change affecting their licensing or insurance status.
Quoted may periodically verify contractor licensing and insurance through third-party verification providers or other reasonable means. If a verification issue arises, Quoted may request additional documentation, temporarily restrict participation, suspend account privileges, or take other appropriate action while the matter is being reviewed.
Contractors remain solely responsible for maintaining continuous compliance with all legal and insurance requirements, regardless of whether Quoted conducts any verification activities.
A Project is deemed assigned when a homeowner selects a contractor through the Platform. Upon assignment, Quoted will facilitate the connection by providing the homeowner and the selected contractor with each other's contact information. The contractor will be charged the applicable Assignment Fee in accordance with these Terms and any separate contractor agreement.
Following the assignment, Quoted's role in the matching process is substantially complete. All subsequent communications, negotiations, contractual arrangements, and services are conducted directly between the homeowner and the contractor.
After a Project has been assigned, the homeowner and contractor are solely responsible for communicating regarding the Project. Such communications may include scheduling appointments, confirming measurements, discussing the scope of work, addressing pricing adjustments, executing contracts, coordinating installation dates, and resolving any Project-related issues.
Quoted does not monitor, supervise, or participate in communications between homeowners and contractors and assumes no responsibility for any statements, representations, agreements, or commitments made by either party following assignment.
Following the assignment, the contractor is responsible for contacting the homeowner within a reasonable period to schedule any necessary on-site inspection, measurement appointment, or Project evaluation.
The purpose of the appointment is to verify the information submitted through the Platform, evaluate existing site conditions, confirm measurements, determine the feasibility of the requested work, and identify any factors that may affect pricing or Project scope.
The homeowner agrees to provide the contractor with reasonable access to the property necessary to complete the inspection.
The homeowner may request modifications to the Project scope after the Project is assigned. Any changes to the requested products, services, specifications, quantities, materials, design preferences, or other Project requirements shall be negotiated directly between the homeowner and the contractor.
Quoted does not participate in approving, negotiating, documenting, or enforcing scope changes and shall have no responsibility for any resulting adjustments to pricing, scheduling, or Project performance.
The Project Price Estimate generated through the Platform is based solely on the information provided by the homeowner at the time of submission. Following the contractor's inspection or measurement appointment, the contractor may determine that adjustments to the final contract price are reasonably necessary due to circumstances including, but not limited to, measurement discrepancies, hidden or unforeseen property conditions, structural deficiencies or damage, building code or regulatory compliance requirements, homeowner-requested modifications to the Project, or other material conditions that could not reasonably be identified before the inspection.
Any revised pricing shall be communicated directly by the contractor to the homeowner. Quoted is not responsible for reviewing, approving, negotiating, or resolving pricing adjustments.
Contractors are expected to promptly contact homeowners following Project assignment. If Quoted reasonably determines that a contractor has failed to make a good-faith effort to contact the homeowner or otherwise fails to proceed with the assigned Project, Quoted may, in its sole discretion, contact the contractor to determine the cause of the delay and take any action it deems appropriate.
Such action may include issuing warnings, temporarily restricting account privileges, suspending participation, reassigning the Project, or permanently removing the contractor from the Platform. Quoted reserves the right to determine whether a contractor has failed to satisfy its participation obligations.
Where Quoted determines that reassignment is appropriate, including where a contractor fails to adequately respond, declines to proceed after assignment, or otherwise becomes unable to perform the Project, Quoted may offer the Project to another eligible contractor.
Project reassignment is conducted solely to facilitate continued use of the Platform and does not create any obligation on Quoted to secure a replacement contractor or guarantee that a homeowner will receive services. Quoted reserves the right to determine whether reassignment is appropriate under the circumstances and shall have no liability arising from any reassignment decision or a failure to reassign a Project.
Quoted charges an Assignment Fee to contractors upon the assignment of a Project by a homeowner through the Platform. The Assignment Fee is earned at the time a Project is successfully assigned and is calculated as a percentage of the Project value or such other fee structure as may be disclosed by Quoted from time to time. The applicable Assignment Fee will be communicated to contractors prior to or at the time of Project acceptance.
Quoted reserves the right to modify, adjust, reduce, or apply promotional Assignment Fee structures, including tiered or discounted fees for Projects that remain unassigned for a specified period. Assignment Fees are non-transferable and, unless otherwise required by law or expressly stated in writing, non-refundable.
All Assignment Fees are processed through Quoted's designated payment processing systems or authorized third-party payment providers. By using the Platform, contractors authorize Quoted and its payment processors to automatically charge, collect, and remit applicable Assignment Fees upon Project assignment.
Contractors agree to provide and maintain accurate and valid payment information and authorize Quoted to recover any unpaid fees, chargebacks, or reversed transactions owed in connection with use of the Platform. Quoted is not responsible for delays or failures in payment processing caused by third-party payment providers, banking institutions, or circumstances beyond its reasonable control.
Contractors are solely responsible for determining, reporting, and paying all applicable federal, state, and local taxes arising from their use of the Platform and performance of services. Quoted does not provide tax advice and is not responsible for collecting, withholding, or remitting taxes on behalf of contractors unless required by applicable law.
Assignment Fees are generally non-refundable once a Project has been assigned and the contractor has received the homeowner's contact information. Quoted may, in its sole discretion, consider refunds for system errors, duplicate charges, fraud, or other exceptional circumstances. Quoted is not responsible for disputes between homeowners and contractors regarding pricing, cancellations, workmanship, or Project completion, all of which must be resolved directly between the parties.
Homeowners agree to use the Platform in good faith and to provide accurate, complete, and timely information relating to their Project. Without limitation, homeowners are responsible for:
Homeowners acknowledge that Quoted does not perform or supervise any work and is not responsible for contractor performance, pricing changes, or Project outcomes.
Contractors agree to perform all services in a professional, lawful, and workmanlike manner consistent with industry standards. Without limitation, contractors are responsible for:
Contractors acknowledge that they are independent businesses and solely responsible for their services and conduct.
All agreements for home improvement services are entered into directly between homeowners and contractors. Quoted is not a party to any contract formed between users of the Platform and does not assume any responsibility for the formation, terms, performance, enforcement, or breach of such agreements.
Any dispute arising from a Project, including disputes regarding pricing, scope, performance, delays, or quality of work, must be resolved directly between the homeowner and the contractor.
Where applicable under federal, state, or local law, homeowners may have a statutory right to cancel certain home improvement contracts within a specified cooling-off period, which may include a three-day right of rescission.
Such rights arise solely under applicable law and apply to the contract between the homeowner and the contractor, not to Quoted. Quoted does not provide legal advice regarding rescission rights and is not responsible for advising users on whether such rights apply to any specific transaction.
Cancellations of any Project, appointment, or home improvement agreement are governed exclusively by the contract between the homeowner and the contractor. Quoted does not control, approve, enforce, or mediate cancellations between users.
Any cancellation fees, refund obligations, or penalties are determined solely by the agreement between the homeowner and contractor and applicable law. Quoted bears no responsibility for losses, delays, or disputes arising from cancellations.
All warranties, guarantees, and representations regarding workmanship, materials, products, or services are provided solely by the contractor. Quoted does not provide any warranties, express or implied, regarding contractor services, including but not limited to warranties of quality, fitness for a particular purpose, merchantability, or completion timelines.
Homeowners acknowledge that any issues related to workmanship, defects, or performance must be addressed directly with the contractor, and Quoted shall have no liability for such matters.
Quoted may implement verification procedures to evaluate contractors prior to and during their participation on the Platform. Such procedures may include, without limitation, review of business information, licensing status, insurance documentation, certifications, years of experience, project history, and other relevant qualifications.
Quoted may also rely on third-party verification services to assist in evaluating contractor eligibility. Contractors agree to provide accurate and current information and to cooperate with reasonable verification requests.
Quoted’s verification process is intended solely to support marketplace participation and does not constitute an endorsement, warranty, certification, or guarantee of any contractor’s performance, reliability, or quality of work.
Contractors are solely responsible for maintaining all required licenses, permits, certifications, and insurance coverage throughout their participation on the Platform. Quoted may, but is not obligated to, periodically review or monitor contractor licensing and insurance status using third-party tools or available public records.
Contractors agree to promptly notify Quoted of any suspension, lapse, expiration, or material change in their licensing or insurance status. Quoted reserves the right to take any action it deems necessary, including requesting updated documentation, restricting access, or suspending accounts, if licensing or insurance concerns arise.
As a condition of participation, contractors may be required to submit before-and-after photographs, videos, or other documentation of completed Projects. Such submissions may be used to verify workmanship, support contractor profiles, enhance marketplace transparency, and improve user trust on the Platform.
Contractors represent and warrant that they own or have the necessary rights to use and share any submitted content and grant Quoted a non-exclusive, worldwide, royalty-free license to use, display, and reproduce such content for Platform-related purposes. Quoted reserves the right to review, approve, reject, or remove any submitted content at its discretion.
The Platform may allow homeowners and other users to submit reviews, ratings, or feedback regarding contractors and their services. Quoted does not guarantee the accuracy, authenticity, or reliability of any reviews or ratings and is not responsible for any statements made by users.
Contractors acknowledge that reviews may be subjective and agree that Quoted may publish, display, or otherwise use such feedback in connection with the Platform. Quoted reserves the right to remove or modify reviews that violate these Terms or applicable law, including content that is fraudulent, defamatory, or misleading.
Quoted reserves the right, in its sole discretion, to suspend, restrict, or permanently remove any contractor from the Platform at any time, with or without notice, for reasons including but not limited to failure to maintain required licenses or insurance, failure to respond to assigned Projects, poor performance or repeated complaints, fraudulent, misleading, or deceptive conduct, violation of these Terms or applicable laws, or any conduct deemed harmful to Quoted, homeowners, or the integrity of the Platform.
Suspension or removal does not affect any obligations incurred prior to such action, including Assignment Fees owed or responsibilities arising from Projects already assigned.
Quoted collects and processes information necessary to operate, improve, and secure the Platform. This includes information provided during account registration, Project submissions, contractor onboarding, communications, and other interactions with the Platform. Homeowner information may include names, contact details, property and Project information, while contractor information may include business details, licenses, insurance, certifications, service areas, and related qualifications. Quoted may also collect technical information, such as device information, IP addresses, usage data, and analytics, to maintain and improve the Platform.
To protect user privacy, homeowner personal information is not disclosed to contractors until the homeowner selects a contractor for a Project. Prior to assignment, contractors receive only the information necessary to evaluate the Project. Once a contractor is selected, Quoted will share the necessary contact information to enable the parties to communicate directly and complete the Project. Contractors may use this information only for the assigned Project and may not use it for unsolicited marketing, resale, or any unrelated purpose. Quoted may also disclose user information where required by law or where necessary to enforce these Terms, resolve disputes, or protect the rights, safety, and security of Quoted, its users, or others.
Quoted implements reasonable administrative, technical, and organizational safeguards to protect user information; however, no security system is completely secure, and Quoted cannot guarantee absolute protection against unauthorized access. Use of the Platform is also governed by Quoted's Privacy Policy, which is incorporated into these Terms by reference. Users are encouraged to review the Privacy Policy to better understand how their information is collected, used, stored, and shared.
All rights, title, and interest in and to the Platform, including its website, software, mobile applications, design, features, functionality, algorithms, pricing methodologies, databases, trademarks, service marks, logos, and other proprietary technology, are and shall remain the exclusive property of Qhomes LLC or its licensors. Nothing in these Terms grants you any ownership interest or right to use Qhomes' intellectual property except as expressly permitted for your lawful use of the Platform. You agree not to copy, reproduce, modify, distribute, sell, lease, reverse engineer, or otherwise exploit any portion of the Platform without Qhomes' prior written consent.
You retain ownership of any content you submit to the Platform, including Project descriptions, photographs, contractor profiles, reviews, and other materials ("User Content"), but you grant Qhomes a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, store, reproduce, modify, display, and distribute such User Content as necessary to operate, improve, and promote the Platform and its Services.
You represent that you have all necessary rights to submit such content and that it does not violate any third-party rights or applicable laws. Any suggestions, ideas, or feedback you voluntarily provide regarding the Platform may be used, implemented, and commercialized by Qhomes without restriction, attribution, or compensation, and Qhomes shall own any resulting improvements or developments.
Users are expected to use the Platform lawfully, responsibly, and in a manner that promotes a safe and trustworthy marketplace for homeowners and contractors. By accessing or using the Platform, you agree that you will not engage in any activity that interferes with the Platform, violates applicable laws, infringes upon the rights of others, or undermines the integrity of the Services. Prohibited conduct includes, but is not limited to:
Quoted reserves the right, in its sole discretion, to investigate any suspected violation of this Section and to take any action it deems appropriate, including removing content, restricting or terminating access to the Platform, suspending user accounts, reporting unlawful conduct to the appropriate authorities, and pursuing any other legal or equitable remedies available under applicable law.
Quoted is a technology platform that connects homeowners with independent contractors and does not provide construction, renovation, installation, repair, or other home improvement services. Quoted is not a contractor, general contractor, subcontractor, construction manager, or design professional, and does not supervise, direct, or control any work performed by contractors. All agreements for home improvement services are entered into directly between homeowners and contractors, who remain solely responsible for the quality, safety, legality, performance, and completion of their services. Homeowners select contractors at their own discretion and risk.
Any Project Price Estimate generated through the Platform is provided for informational purposes only and is based on the information supplied by the homeowner together with Quoted's proprietary pricing methodology. Quoted does not guarantee that any estimate reflects the final contract price, as pricing may change following the contractor's inspection, measurements, or evaluation of the Project. Quoted is not responsible for pricing adjustments, disputes, or discrepancies between homeowners and contractors.
Quoted does not warrant that the Platform will operate without interruption, error, or delay and may suspend or limit access for maintenance, security, or operational reasons. The Platform may also utilize third-party services, including payment processors, verification providers, licensing databases, and communication tools. Quoted does not control or guarantee the availability, accuracy, or performance of such third-party services and disclaims all liability arising from their use or failure, to the fullest extent permitted by applicable law.
To the maximum extent permitted by law, Quoted shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your access to or use of the Platform.
Quoted’s total liability for any claim arising out of or relating to the Platform shall not exceed the total amount of Assignment Fees actually received by Quoted from the contractor giving rise to the claim during the twelve (12) month period immediately preceding the event giving rise to the liability. Quoted is not liable for any damages arising from contractor services, homeowner actions, or disputes between users of the Platform.
Quoted is not a party to any agreement between homeowners and contractors and has no responsibility for disputes arising between them. This includes, without limitation, disputes relating to pricing, scope of work, project delays, workmanship, defects, cancellations, warranties, payments, or any other aspect of the contractual relationship between homeowners and contractors.
Users agree that Quoted shall have no obligation to mediate, arbitrate, or resolve such disputes, although Quoted may, in its discretion, provide limited support to facilitate communication between users.
To the fullest extent permitted by applicable law, Quoted shall not be liable for any loss of profits, loss of revenue, loss of business opportunities, loss of data, business interruption, or any other economic or non-economic damages arising out of or related to the use of or inability to use the Platform.
These limitations apply regardless of the legal theory of liability, whether based in contract, tort, negligence, strict liability, or otherwise, even if Quoted has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so the above limitations may not apply to you to the extent prohibited by law.
You agree to defend, indemnify, and hold harmless Quoted LLC ("Quoted"), its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your access to or use of the Platform, your violation of these Terms or any applicable law or regulation, your interaction, communication, or contract with any other user of the Platform, including homeowners and contractors, any services performed or not performed by a contractor, including claims related to workmanship, defects, delays, property damage, or personal injury, any content or information you submit, post, or transmit through the Platform, your misrepresentation, negligence, or willful misconduct.
Quoted reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Quoted’s defense of such claims. You may not settle any claim affecting Quoted without Quoted’s prior written consent. This indemnification obligation shall survive termination of your use of the Platform and these Terms.
Before initiating any formal dispute resolution process, users agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform through good faith informal negotiations.
A party raising a dispute must provide written notice describing the nature of the dispute and allow a reasonable period for the other party to respond and attempt resolution. Quoted may, but is not obligated to, assist in facilitating informal resolution between homeowners and contractors; however, Quoted is not responsible for resolving disputes between users.
To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform that cannot be resolved informally shall be resolved by binding arbitration. The arbitration shall be conducted on an individual basis and not as part of a class or representative action, except where prohibited by applicable law.
The arbitration shall be administered by a recognized arbitration provider under its applicable rules, and judgment on the arbitration award may be entered in any court of competent jurisdiction. Users agree that arbitration is the exclusive forum for resolving such disputes, except for matters that may be brought in small claims court where permitted by law.
To the fullest extent permitted by law, users waive any right to participate in a class action, collective action, or representative proceeding against Quoted.
All claims must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding. If this waiver is found to be unenforceable in whole or in part, the remainder of this dispute resolution section shall remain in effect.
These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of laws principles. Subject to the arbitration provisions above, and to the extent any legal action is permitted, users agree that any court proceedings shall be brought exclusively in the state or federal courts located in Iowa.
Users consent to the personal jurisdiction of such courts and waive any objection to jurisdiction or venue in those courts.
Users may terminate their account and discontinue use of the Platform at any time by following the account closure procedures available through the Platform or by providing written notice to Quoted.
Termination by a user does not relieve the user of any obligations incurred prior to termination, including any payment obligations, Assignment Fees owed, or responsibilities arising from any Project already assigned or in progress. Any ongoing contractual obligations between homeowners and contractors remain solely between those parties and are not affected by termination of a Quoted account.
Quoted reserves the right, in its sole discretion, to suspend or restrict access to the Platform or any user account at any time, with or without notice, for reasons including but not limited to violation of these Terms, suspected fraudulent, abusive, or unlawful activity, failure to maintain required licenses, insurance, or eligibility criteria (for contractors), providing false, misleading, or incomplete information, security risks or technical concerns, or any conduct that may harm Quoted, its users, or the integrity of the Platform. Suspension may be temporary or permanent depending on the nature and severity of the issue.
Upon termination or suspension of an account, the user’s right to access and use the Platform will immediately cease. Termination does not affect any rights, obligations, or liabilities that accrued prior to termination, including but not limited to payment obligations, Assignment Fees, indemnification obligations, or any responsibilities arising from Projects already assigned.
Quoted may retain certain information as required by law, for legitimate business purposes, or as necessary to enforce these Terms, resolve disputes, or comply with legal obligations. Any provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.
By using the Platform, you consent to receive all notices, disclosures, agreements, and other communications electronically, including by email, SMS, in-app notifications, or through your account dashboard. You agree that such electronic communications satisfy any legal requirement that communications be provided in writing. You further acknowledge that your electronic actions, including creating an account, clicking "I Agree," or submitting forms through the Platform, constitute your legally binding electronic signature and have the same force and effect as a handwritten signature.
By creating an account or using the Platform, you also consent to receive service-related, transactional, and operational communications from Quoted, as well as promotional communications where permitted by law. Message and data rates may apply depending on your mobile carrier. You may opt out of non-essential marketing communications at any time by following the unsubscribe instructions provided in such communications or by updating your account preferences.
Quoted reserves the right to modify, update, or revise these Terms at any time, in its sole discretion. When material changes are made, Quoted will provide notice through the Platform, via email, or by other reasonable means. Continued use of the Platform after such notice constitutes acceptance of the revised Terms. Users are responsible for reviewing the Terms periodically to stay informed of any updates.
These Terms, together with any policies or documents expressly incorporated by reference, including the Privacy Policy and any applicable contractor agreements, constitute the entire agreement between you and Quoted regarding use of the Platform. These Terms supersede and replace any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the subject matter herein.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
No failure or delay by Quoted in exercising any right, remedy, or provision under these Terms shall operate as a waiver of such right or provision. Any waiver must be in writing and signed by Quoted to be effective. A waiver of any breach shall not be deemed a waiver of any subsequent breach.
Users may not assign, transfer, or delegate their rights or obligations under these Terms without prior written consent from Quoted. Quoted may freely assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. These Terms shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
Quoted shall not be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, war, terrorism, civil unrest, government actions, internet or telecommunications failures, or other unforeseen events. During such events, Quoted's obligations shall be suspended for the duration of the force majeure condition.
Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, payment obligations, and any accrued rights or liabilities. Termination of use of the Platform does not affect obligations that arose prior to termination.
